These terms govern your use of DeskFlux — our website at deskflux.in, the dashboard application, and any related services. By creating an account, booking a demo, or using DeskFlux, you agree to them. If you are agreeing on behalf of a coaching institute, you confirm you are authorised to bind that institute.

1. Who you are contracting with

DeskFlux is operated by DESKFLUX, a sole proprietorship registered in India as a Micro enterprise under Udyam Registration Number UDYAM-PB-06-0048215, based in Fazilka, Punjab, India.

2. The service

DeskFlux is software for running a coaching institute — students, employees, courses, batches, attendance, fees, expenses, salaries and reporting — with an AI copilot and automated messaging. We add and improve features over time. We may change or discontinue a feature, and where a change materially reduces what you are paying for, we will give reasonable notice.

3. Accounts

You must give accurate account information and keep it current.
You are responsible for everything done under your account, including by the staff users you create. Keep credentials confidential and tell us promptly if you suspect unauthorised access.
You must be at least 18 and legally able to enter a contract.

4. Trials, fees and billing

Free trial. Where we offer a trial, it runs for the stated period. We will not charge you at the end of a trial unless you choose a paid plan.
Subscription. Paid plans are billed in advance for the billing period you select, and renew automatically until cancelled.
Taxes. Fees are exclusive of GST and other applicable taxes, which are added where required.
Price changes. We will give at least 30 days’ notice before a price change takes effect for your account.
Non-payment. If an invoice goes unpaid we may suspend access after notifying you. Your data is retained during suspension in line with section 9.

5. Cancellation and refunds

You can cancel at any time from your account or by writing to [email protected]. Cancellation takes effect at the end of the current billing period, and you keep access until then.

Fees already paid are non-refundable except where Indian law requires otherwise, or where we have failed to provide the service for an extended period through our own fault. We do not charge a cancellation fee, and we do not automatically refund for partial periods.

6. Your data

You own your data. Everything you or your staff put into DeskFlux — student records, fees, attendance, employee data — remains yours. We claim no ownership over it.

You grant us a limited licence to host, process, transmit and display that data solely to provide the service to you, to support you, and to keep the system secure. We do not sell your data, use it for advertising, or use it to train AI models. Our Privacy Policy explains how we handle it.

You can export your data at any time while your account is active. On request within 30 days of cancellation, we will provide an export.

7. Your responsibilities for student and parent data

You decide what personal data goes into DeskFlux, which makes you the data fiduciary for it under the Digital Personal Data Protection Act, 2023. You confirm that:

you have a lawful basis and, where required, consent to collect and store the student, guardian and employee data you enter;
you have obtained verifiable parental consent for students under 18;
you will action requests from students and parents to access, correct or erase their data, and we will assist you in doing so;
you will keep the data accurate and only retain what you need.

8. Messaging and communications

DeskFlux can send WhatsApp, SMS and email messages to the contacts you enter. You are responsible for those messages. You confirm that:

you have the recipient’s consent to message them at the number you entered;
messages are limited to running your institute — fee reminders, attendance, timetables, results and notices — and are not unsolicited marketing to people who have not opted in;
you will honour opt-out requests promptly and will not re-add a number that has opted out;
you will comply with TRAI regulations, the WhatsApp Business Messaging Policy and Meta’s platform terms, which apply to your messages in addition to these terms.

Messaging platforms may rate-limit, restrict or block a sender for poor quality or complaints. Deliverability is not something we control or guarantee. Misuse of messaging is grounds for immediate suspension.

9. Acceptable use

You must not:

break any applicable law, or infringe anyone’s rights;
upload malware, attempt to breach the service, probe it for vulnerabilities without our written permission, or access another institute’s data;
resell, sublicense or white-label DeskFlux without a written agreement with us;
copy, reverse-engineer or create a derivative of the software, or scrape it in bulk;
use the service to store data you have no right to hold, or to send unlawful or harassing messages;
place a load on the service that degrades it for other customers.

10. AI features

The AI copilot and AI-assisted import produce output that can be wrong or incomplete. Treat it as a helpful draft, not a decision. Check anything that affects money, records or a person before you rely on it. Actions that change or delete records require your explicit confirmation, and you remain responsible for confirming them.

11. Third-party services

DeskFlux connects to services we do not control, including WhatsApp and Meta platforms, payment gateways and AI model providers. Your use of those is governed by their own terms. We are not responsible for their availability, changes, or acts.

12. Availability and support

We work to keep DeskFlux available and to warn you before planned maintenance, but we do not offer a contractual uptime guarantee on standard plans. The service is provided on an “as is” and “as available” basis, and we do not warrant that it will be uninterrupted or error-free.

Support is available on the channels listed on our support page during our stated hours.

13. Intellectual property

The DeskFlux software, brand, design and documentation belong to us. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription — nothing more. Feedback you send us may be used to improve the product without obligation to you.

14. Suspension and termination

We may suspend or terminate your account if you materially breach these terms, if your use puts the service or other customers at risk, if payment is overdue, or if we are required to by law. Except where the breach is serious or unlawful, we will tell you first and give you a reasonable chance to fix it.

On termination your right to use the service ends. We retain your data for the periods set out in the Privacy Policy so you can export it.

15. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental or consequential loss, or for lost profits, lost business, or lost or corrupted data arising from your use of the service.

Our total liability for all claims in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing here excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.

16. Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from your breach of these terms, from data you put into DeskFlux, or from messages sent from your account.

17. Changes to these terms

We may update these terms and will revise the date at the top. For material changes we will notify account holders by email at least 30 days before they take effect. Continuing to use DeskFlux after that means you accept the updated terms.

18. Governing law and disputes

These terms are governed by the laws of India. The courts at Fazilka, Punjab have exclusive jurisdiction over any dispute. Before starting proceedings, please write to us — most issues are settled faster that way.
